This proxy statement supplement, dated January 27, 2025 (the “Supplement”), provides updated information with respect to the 2025 Annual Meeting of Shareholders of Matthews International Corporation (the “Company”) to be held on February 20, 2025 (the “2025 Annual Meeting”). This Supplement replaces and supersedes any inconsistent information set forth in the Proxy Statement.
On January 24, 2025, Gregory S. Babe informed the Company that he will not stand for re-election to the Company’s Board of Directors at the Company’s 2026 Annual Meeting of Shareholders. Mr. Babe’s decision was not related to any disagreement with the Company on any matter relating to its operations, policies, or practices.
